1. Introduction and Agreement

Welcome to LogicsRate ("Company," "we," "us," or "our"). By accessing our website, using our services, or requesting a shipping quote, you ("Customer," "you," or "your") agree to comply with and be bound by these Terms & Policies. 

You must be at least 18 years of age to use our services.** If you are under 18, you may only use our services with the involvement and consent of a parent or guardian.

Please read these terms carefully before using our services. If you do not agree to these terms, please do not use our services.


2. Services Overview

LogicsRate provides shipping and logistics services, including:


Shipping Services
Local Services: Currently fulfilled through partnered carriers. Direct LogicsRate-operated services may be introduced in the future with advance notice.
National & International Services: Rates, delivery times, and terms vary by carrier and destination.
Service Areas: We currently serve Ankeny and Des Moines, Iowa, with expansion to additional areas planned for the future. Service availability outside these areas is subject to carrier partnerships and may involve additional fees.


Consulting Services
MSME Logistics Consulting: Provided remotely or in person, based on availability and prior written agreement.
Custom Solutions: Available upon request and subject to separate agreements.


3. Shipping Terms and Conditions

Quote Validity and Pricing
- All shipping quotes are valid for 7 days from the date issued unless otherwise specified.
- Rates are based on customer-provided information (weight, dimensions, destination, contents, etc.).
- Final pricing is subject to weight, dimension, and destination verification. Inaccurate information may result in additional charges, service delays, or shipment refusal.
- Rates may change without prior notice due to carrier adjustments, fuel surcharges, seasonal factors, or other market conditions.


Shipment Requirements
- All shipments are subject to the terms and conditions of the selected carrier.
- Delivery times are estimates only and are not guaranteed unless expressly stated in a separate written agreement.
- Customers are solely responsible for ensuring shipments comply with all applicable laws, regulations, customs requirements, and carrier restrictions.
- Insurance and tracking services are available upon request and must be purchased prior to shipment processing.


Prohibited Items
We do not accept shipments containing:
- Hazardous materials, flammable, explosive, or toxic substances
- Illegal items, controlled substances, or items prohibited by law
- Perishable goods without prior arrangement and appropriate packaging
- Items exceeding carrier weight, size, or value limits
- Any items prohibited by the selected carrier's terms of service


4. Payment Terms

- Payment Due: All services must be paid in full before shipment processing unless alternative arrangements are agreed upon in writing.
- Accepted Methods: Credit/Debit Cards, Apple Pay, Google Pay & PayPal.
- Late Payments: Unpaid balances may result in service suspension, additional fees, and collection actions.
- Currency: All prices are quoted in USD unless otherwise stated.

 

5. Cancellations and Refunds

Shipping Services
- Cancellations are only accepted before shipment processing begins with the carrier.
- Refund eligibility depends on carrier policies and services already rendered.
- Cancellation requests must be submitted in writing to info@logicsrate.com.
- Processing fees may apply to approved cancellations.

 

Consulting Services
- Consulting fees are non-refundable once work has commenced.
- Cancellations made more than 24 hours before scheduled sessions may receive partial refunds at our discretion.

 

6. Liability and Claims

Limitation of Liability
- LogicsRate acts as an intermediary service provider and freight broker.
- Our total liability for any claim shall not exceed the amount paid by the customer for the specific service in question.**
- We are not responsible for delays, damages, losses, or theft caused by partnered carriers (USPS, UPS, FedEx, etc.) or events beyond our reasonable control.

 

Carrier Claims
- Damage, loss, or delay claims must be filed directly with the applicable carrier unless we have agreed in writing to handle claims on your behalf.
- We will provide reasonable assistance in facilitating carrier claims when requested.
- Carrier liability is limited by their respective terms and conditions.

 

Force Majeure
We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including but not limited to: natural disasters, weather conditions, government actions, labor disputes, pandemics, cyber attacks, or carrier service disruptions.

 

Customer Indemnification
Customer agrees to indemnify and hold LogicsRate harmless from any claims, damages, or expenses arising from: (a) inaccurate shipment information provided by customer, (b) prohibited or restricted items in shipments, (c) customer's violation of applicable laws or regulations, or (d) third-party claims related to customer's shipments.

 

7. Privacy Policy

Information Collection
We collect personal information including name, address, contact details, payment information, and shipment details to process orders and provide services.

 

Information Use and Sharing
- Your information will never be sold to third parties for marketing purposes.
- Information may be shared with carriers, payment processors, insurance providers, or service partners solely as necessary to fulfill your service requests.
- We may use information for service improvement, customer support, and legal compliance.

 

Data Rights
- You may request to access, update, or delete your personal data at any time by contacting us.
- We retain customer data for 90 days or as required by law.
- For international shipments, your data may be transferred to countries with different privacy laws as necessary for service delivery.

 

Website Data
Our website may use cookies and analytics tools to improve user experience. You can manage cookie preferences through your browser settings.

 

8. Dispute Resolution

Governing Law
These Terms & Policies are governed by the laws of the State of Iowa, without regard to conflict of law principles.

 

Dispute Process
- Initial disputes should be directed to our customer service team at info@logicsrate.com.
- If unresolved, disputes may be subject to binding arbitration under the rules of the American Arbitration Association in Des Moines, Iowa.
- Each party is responsible for their own legal costs unless otherwise determined by the arbitrator.

 

9. Changes to Terms and Policies

We reserve the right to modify these Terms & Policies at any time. When possible, we will provide reasonable advance notice of significant changes. The most current version will always be available on our website. Continued use of our services after changes constitutes acceptance of the updated terms.

 

10. General Provisions

Severability
If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

 

Entire Agreement
These terms constitute the entire agreement between you and LogicsRate regarding our services, superseding any prior agreements or understandings.

 

Assignment
You may not assign or transfer your rights under these terms without our written consent. We may assign our rights and obligations under these terms.
